Terms and Conditions

1. Acceptance of Terms

By accessing the CodeVeda website and engaging our services, including custom software solutions, web development, and IT consulting, you agree to be bound by these Terms & Conditions. If you do not agree to these terms, please do not use our services or website. CodeVeda reserves the right to update these Terms at any time without prior written notice.

2. Scope of Services

CodeVeda is a software development company operating in Bengaluru, India. We deliver tailored digital infrastructure, applications, and strategic IT advice. The specific scope, timeline, deliverables, and fees for any project will be outlined in a separate written statement of work (SOW) or master services agreement (MSA) signed by both parties.

  • Any modification to the agreed scope of work may result in adjustments to pricing and delivery timelines.
  • CodeVeda is not responsible for delays caused by third-party services, host environments, or late deliverables from the client.

3. Client Responsibilities

To ensure successful project execution, the client must provide timely access to necessary resources, accurate business requirements, and prompt feedback. The client guarantees that any text, graphics, data, or digital assets provided to CodeVeda for inclusion in the software or website are owned by the client, or that the client has explicit permission to use them.

4. Intellectual Property Rights

Upon final payment of all outstanding invoices, CodeVeda will transfer the usage rights and agreed-upon source code of the custom developed software to the client. CodeVeda retains the rights to pre-existing libraries, foundational frameworks, and general algorithms utilized during development, granting the client a non-exclusive, perpetual license to utilize these components within the delivered software.

5. Payment Terms

All fees are invoiced in Indian Rupees (INR) unless otherwise agreed in writing. Invoices are payable within 15 days of the invoice date. Late payments may incur a penalty of 1.5% per month on the outstanding balance. CodeVeda reserves the right to suspend project work or withhold deliverables if payments are not received in accordance with the agreed schedule.

6. Limitation of Liability

CodeVeda provides its services on an "as is" and "as available" basis. While we strive to produce robust, secure software, we do not warrant that our deliverables will be entirely error-free or immune from future security vulnerabilities. CodeVeda shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities arising from the use of our software or services.

7. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or related to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts located in Bengaluru, Karnataka, India.
